Terms of sale
The commercial terms behind a quotation, an order and a shipment.
These terms apply to quotations and orders unless a signed contract says otherwise. They are written to be read, not to be hidden behind.
Quotations
A quotation is valid for the period stated on it, normally 30 days. Prices depend on the specification quoted; a change in quantity, material, packaging or certification is a new quotation, not a discount negotiation.
Orders
An order is accepted when we issue an order confirmation or proforma invoice and the agreed deposit is received. The specification is frozen at that point. Changes after freezing are possible before production starts and may affect price and date; after production starts they usually are not.
Payment
Standard terms are stated on the quotation, typically a T/T deposit with the balance against copy documents, or an irrevocable L/C at sight for larger orders. Title to the goods passes on full payment; risk passes according to the agreed Incoterm.
Tooling, drawings and OEM work
Tooling paid for by you remains yours and will not be used for another customer's order. Drawings, samples and specifications you send us are treated as confidential and are not shared outside the people who need them to make your parts. Our own drawings, test reports and designs stay ours.
Force majeure and liability
Neither side is liable for delay caused by events outside its reasonable control — we will tell you early rather than let a date slip quietly. Our liability for a defective delivery is limited to the remedies in the claims policy; we are not liable for indirect or consequential loss. Nothing here limits liability that cannot be limited by law.
Law
Chinese law applies and the courts at our registered seat have jurisdiction, unless the contract names something else. The parties will try to settle a dispute by discussion first; in practice almost everything is settled that way.
